# PassPal Partners — Programme Terms **Version:** `partner-terms-v1.1` (matches `TERMS_VERSION` in `src/lib/partners/constants.ts`) **Status:** FROZEN — immutable. Any change is published as a new version file (`partner-terms-v1.2.md`) with a new constant; this file is never edited in place. **Supersedes:** `partner-terms-v1.0` for new applications only. Partners who accepted `partner-terms-v1.0` remain on that version until they accept a new one. **Source:** Phase 1 Strategy & Architecture Pack v1.2 (frozen), with minimum organisation-support amendments. --- ## 1. The programme PassPal Partners is a referral programme. Approved partners receive a human-readable referral code and earn commission on qualifying PassPal Premium purchases attributed to that code. ## 1A. Who the Partner is "Partner" means either: - the individual named in the application; or - the driving school, business or organisation named in the application. "You" and "your" refer to that Partner. Where an organisation applies, the person submitting the application does so as its authorised representative. ## 1B. Organisations and authority Where the Partner is an organisation, the person submitting the application confirms that they are authorised to act for it, that they have authority to accept these terms on its behalf, that their acceptance binds the organisation, and that the information submitted about the organisation is accurate. ## 2. Eligibility You must: - where the Partner is an individual, be aged 18 or over; where the Partner is an organisation, the authorised representative accepting these terms must be aged 18 or over; - be able to receive payment in GBP into a supported UK bank account held in the Partner's name when requested — a personal account for an individual Partner, or a business account for an organisation Partner; - provide accurate information about the Partner and its audience; - accept these terms at the version shown when you apply. Applications are reviewed by a person. There is no automated approval or automated rejection. ## 3. Application and verification You confirm your email address with a six-digit code. Your application is not under review until your email address is verified. Unverified applications are deleted after 7 days. ## 4. Attribution Attribution runs on a 90-day window, last explicit touch wins. Referral codes are permanent: a retired code always continues to resolve to the same partner. ## 5. Commission and payouts Commission is recorded in an append-only ledger in GBP pence. Payouts are made manually by bank transfer: monthly where the balance is at least £25, otherwise quarterly where the balance is at least £5. Every payout is reviewed by a person before it is released. Commission becomes payable after the applicable holding period and may be adjusted if a qualifying purchase is refunded, reversed or otherwise becomes ineligible. ## 6. Conduct You must not: - claim or imply that PassPal guarantees a driving-test pass; - present yourself as DVSA-endorsed or as speaking for PassPal; - use paid search on PassPal brand terms, spam, or misleading content; - self-refer, or incentivise purchases in a way that misrepresents the product. ## 6A. Organisation responsibility Where the Partner is an organisation, it is responsible for the conduct of its staff, instructors and representatives when they use PassPal promotional materials, the organisation's referral code, link or QR code, or otherwise take part in the programme on its behalf. ## 7. Status changes We may limit, suspend or terminate a partner account for breach of these terms. You will be told the reason. You may appeal by replying to the notification email. Where a rejection or termination is conduct-related, a 90-day cooling-off period applies before you may reapply. Application and partner-status decisions are made by PassPal. We may review decisions at our discretion, but there is no automatic right of acceptance into the programme. ## 8. Data protection We process your name, email address, audience description and application details to run the programme (UK GDPR: contract and legitimate interests). A hashed IP address is retained for up to 90 days for abuse prevention. Learner data is never shared with partners. See the PassPal Privacy Policy for your rights. ## 9. Changes to these terms New terms are published as a new version. You will be asked to accept the new version before continuing in the programme.
